Technical changes to business fees and filings requirements advance

Proposed changes to some business filing fees and requirements governed by the Office of the Secretary of State gained approval Tuesday from the House Government Operations and Elections Policy Committee.

Sponsored by Rep. Dennis Smith (R-Maple Grove), HF1470 would make technical changes to state statutes that govern business fees and filings. Those would include:

  • replacing tiered reinstatement fees for foreign corporations whose certificate authority was revoked or canceled with a flat $500 fee;
  • a change in filing deadline for public benefit corporation annual benefit reports, from 90 days after end of the calendar year to April 1;
  • requirements that public benefit corporations that lose the public benefit corporation status amend its articles of incorporation to reflect a name that does not include that designation and adds a penalties for those that don’t comply; and,
  • adding language referencing online inquiries regarding farm product liens and financing statements, and requiring a prompt response from the secretary of state’s office.

The bill next heads to the House Civil Law and Data Practices Committee. Rep. Melisa Franzen (DFL-Edina) sponsors a companion, SF1476, which awaits action by the Senate Finance Committee.
